Terms and Conditions for Accreditation for and Inclusion on CertifiedDomain List


These are the terms and conditions for applying for and maintaining accreditation by Goodmail Systems, Inc. (“Goodmail”) inclusion on the CertifiedDomain™ list (“CeD List”), a whitelist of domains accredited by Goodmail and/or one of its authorized partners.

To begin the accreditation process, go to https://mailcenter.goodmailsystems.com/Certification/ . When you apply for accreditation for inclusion on the CeD List, you agree to all the terms and conditions set forth herein.

  1. Accreditation. In order to apply for accreditation for inclusion on the CeD List, you will need to provide all information required by Goodmail as part of the accreditation application, and to pay the applicable fee per for accreditation per domain in accordance with the payment methods acceptable to Goodmail, in each case as indicated in the accreditation application. Fees for accreditation are non-refundable, whether or not your application is approved and regardless of the reasons for denial or approval. Once you have provided all required information and payment for accreditation has been received by Goodmail, Goodmail or one of its authorized parters will process your accreditation application. The process and criteria applied by Goodmail for approval or denial of accreditation applications are established by Goodmail in its sole discretion and may change over time. While Goodmail tries to be fair and reasonable in applying this process and criteria in most cases, Goodmail reserves the unconditional right to deny/decline any application for accreditation at any time and for any reason, and no refund will be provided for denial of your accreditation application. All determinations made by Goodmail with respect to your accreditation or otherwise hereunder are final and are not subject to appeal.
  2. Accreditation Status. If your domain has been accredited for inclusion on the CeD List by Goodmail in its sole discretion, Goodmail will list your domain on the CeD List within a reasonable period of time after such accreditation. Your accreditation for inclusion on the CeD list will expire automatically after a period of twelve (12) months after Goodmail approval of your application. Notwithstanding the foregoing, your application fee does not guarantee inclusion on the CeD list for any period of time, and Goodmail may at any time charge an additional fee for continued accreditation for inclusion on the CeD list. You agree that if you fail to pay any such additional fee, Goodmail may terminate your accreditation for inclusion on the CeD list. Upon expiration of the foregoing 12-month period or any subsequent period of accreditation, you may extend your accreditation for inclusion on the CeD list for additional periods in accordance with the options made available by Goodmail at the time of expiration, if any, and by paying the fee established by Goodmail and in effect for such options at such time. Your accreditation and ability to renew your accreditation are subject to Goodmail’s rights to terminate your accreditation for inclusion on the CeD list and listing as provided in Section 6 below
  3. CeDList. The CeD List may be published in a number of forms, and with varying levels of information with respect to the listed domains included on such CeD List, as determined by Goodmail in its sole discretion, and you hereby consent to such publication. Goodmail may introduce additional forms of the CeD List, or change or discontinue any form of the CeD List, at any time in Goodmail’s discretion. You agree that your application for accreditation and payment of the fees payable hereunder are not contingent upon the availability of the CeD List in any specific form.
  4. No Additional Rights. Payment of the applicable application fee for a domain and accreditation for inclusion of such domain on the CeD List entitles you solely to inclusion of such domain on the CeD List as provided herein. You acknowledge Goodmail’s sole ownership of the CeD list and the CertifiedDomain trademark and all associated goodwill. Goodmail may in its discretion make the CertifiedDomain trademark available for use by domains accredited for inclusion on the CeD List at no charge or for an additional fee in accordance with guidelines established by Goodmail for such use. In such event, you agree you will use the CertifiedDomain trademark solely in accordance with such guidelines and shall not use it in such a way that it implies accreditation of your organization, your email messages or any of your products or services or accreditation of your domain for any purpose other than inclusion on the CertifiedDomain list. Except to the extent Goodmail makes the CertifiedDomain trademark available for use in accordance with guidelines established by Goodmail for such use, and then only in accordance with such guidelines, you may not use the CertifiedDomain trademark or any other name, trade name, trademark, domain name, service mark, or logo Goodmail (“Goodmail Marks”) in any way without the prior written consent of Goodmail to each specific use, which may be withheld in Goodmail’s sole discretion.
  5. Information and Compliance with Local Laws. You represent and warrant that the information you provide to Goodmail in your accreditation application or otherwise pursuant to this Agreement is true, accurate, and complete, and includes all information necessary to ensure that the statements therein do not in whole, or in part, mislead Goodmail as to any material fact. You agree to promptly notify Goodmail if any such information is no longer accurate or if there have been any significant changes with respect to your domain accredited for inclusion on the CeD List or its email practices. Goodmail provides no assurances that the CeD list or your participation in such list is in compliance with the laws and regulations in all jurisdictions, and you are responsible for ensuring that your participation hereunder is in compliance with all applicable laws and regulations in your local jurisdiction.
  6. Termination. Goodmail will evaluate the email practices of domains included on the CeD List from time to time for continued inclusion on the CeD List. Goodmail reserves the unconditional right to revoke or terminate the accreditation of your domain for inclusion on the CeD List at any time for your failure to comply with the terms of this Agreement, your failure to pay additional fees assessed by Goodmail for continued accreditation, expiration of the term of your accreditation without renewal, or Goodmail’s determination that your domain no longer meets the then-current criteria for inclusion on the CeD List as determined by Goodmail in its sole and absolute discretion. No refund will be provided for early termination of your accreditation, regardless of the reason for termination. All determinations made by Goodmail with respect to your accreditation or otherwise hereunder are final and are not subject to appeal. Immediately upon termination of your accreditation, all rights granted to you hereunder will terminate and Goodmail may immediately remove your domain from listing on the CeD List. You will immediately cease use of the CertifiedDomain trademark or any Goodmail Mark to the extent Goodmail has consented to any such use hereunder.
  7. Other Services. Goodmail may, but is not required to, accredit you for use of additional Goodmail products or services based on your accreditation for inclusion on the CeD List. In such event, you will be required to enter into an agreement with Goodmail with respect to any such product or service prior to use of such product or service.
  8. Notice; Changes. You agree that the official mode of communication regarding the status of your accreditation and any changes to this Agreement is email and/or the Goodmail web site. You agree to keep your email address current with Goodmail and to periodically check the Goodmail web site for announcements regarding your certification or changes to this Agreement. You agree that Goodmail may change this Agreement at any time by posting the changes on the Goodmail web site or emailing a notice to you that they have been changed to the email address Goodmail has on record for you.
  9. Disclaimers of Warranties. TO THE FULLEST EXTENT PERMITTED BY LAW, GOODMAIL AND ITS SUPPLIERS AND LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE CERTIFIEDDOMAIN LIST AND ACCREDITATION FOR INCLUSION THEREON, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT OF THE RIGHTS OF THIRD PARTIES, SECURITY, DATA ACCURACY, OR QUIET ENJOYMENT.
  10. Limitations of Liability. UNDER NO CIRCUMSTANCES WILL GOODMAIL OR ITS SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, GENERAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY OR OTHER DAMAGES RESULTING FROM ANY CIRCUMSTANCE INVOLVING THE CERTIFIEDDOMAIN LIST OR ACCREDITATION FOR INCLUSION THEREON, EVEN IF YOU HAVE ADVISED GOODMAIL IN ADVANCE OF THE POSSIBILITY OF SUCH DAMAGE OR THEY ARE FORESEEABLE.

    IN NO EVENT SHALL THE AGGREGATE LIABILITY OF GOODMAIL OR ITS SUPPLIERS OR LICENSORS TO YOU OR ANY THIRD PARTY EXCEED THE LESSER OF THE AMOUNT PAID BY YOUR FOR ACCREDITATION FOR INCLUSION ON THE CERTIFIEDDOMAIN LIST.

    The limitations of liability set forth above are fundamental elements of the basis of the bargain between you and Goodmail, and you agree that Goodmail would not be able to make the CertifiedDomain list or accreditation for inclusion thereon available on an economic basis without such limitations.

    Applicable law may not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain jurisdictions damages. Accordingly, some of the above limitations or exclusions may not apply to you.
  11. Entire Agreement. This Agreement constitutes the entire understanding and agreement of the parties with respect to the subject matter of this, and any and all prior agreements, understandings or representations with respect to the subject matter hereof are hereby terminated and canceled in their entirety. This Agreement may be executed in two counterparts, each of which will be an original and together which will constitute one and the same instrument.
